- Determine if the company qualifies for simplified liquidation, a more efficient and less complex procedure, based on specific criteria. - Organize a meeting with the shareholders, in the presence of a notary, to formally approve the company’s dissolution and appoint a liquidator. - Work closely with the appointed liquidator to oversee the orderly liquidation of assets, settlement of liabilities, and fulfillment of all legal and financial obligations. - Arrange a second meeting to appoint a liquidation auditor, ensuring proper oversight of the liquidation process. - Organize a final meeting with shareholders to formally conclude the liquidation and approve the final liquidation report. - Ensure the company’s dissolution and removal from the Luxembourg Trade and Companies Register (RCS) are officially published, marking the completion of the liquidation process.
